Terms of Service

1. Acceptance of Terms

By downloading, installing, or using the Ratchet Jazz mobile application or the trueoleans.com website (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Service.

These Terms constitute a legally binding agreement between you and True Orleans, LLC ("Company," "we," "our," or "us").

2. Eligibility

You must be at least 13 years old to use the Service. By using the Service, you represent that you meet this requirement. Users under 18 must have parental or guardian consent to purchase tickets or access age-restricted events.

3. Account Registration

You must create an account to purchase tickets. You agree to provide accurate, current, and complete information and to update it as necessary. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.

You may not share your account with others or use another person's account. Notify us immediately at support@ratchetjazz.com if you suspect unauthorized use of your account.

4. Ticket Purchases

• All ticket sales are final unless otherwise stated by the event organizer or required by law.
• Tickets are non-transferable unless explicitly permitted by the event organizer.
• Prices displayed include any applicable service fees. Taxes may be added at checkout depending on your location.
• We use Stripe to process payments. By purchasing, you agree to Stripe's terms of service.
• Fraudulent purchases or chargebacks without valid cause may result in account suspension.

5. Refunds & Cancellations

Refund eligibility is determined by the event organizer's policy, which is displayed at the time of purchase. The following general rules apply:

• If an event is cancelled by the organizer, all ticket holders will receive a full refund to their original payment method within 5–10 business days.
• If an event is postponed, tickets remain valid for the new date. Buyers who cannot attend the new date may request a refund within 7 days of the postponement announcement.
• For discretionary refund requests, contact our support team with your order details. Approval is at our discretion and the event organizer's policy.

6. Prohibited Conduct

You agree not to:

• Use the Service for any unlawful purpose
• Resell, duplicate, or counterfeit tickets
• Attempt to circumvent ticket scanning or check-in systems
• Harass, threaten, or harm other users or event staff
• Reverse-engineer, scrape, or abuse the Service's API or infrastructure
• Create multiple accounts to abuse promotions or circumvent bans
• Submit false or misleading information to the Service or support team

Violation of these rules may result in immediate account termination without refund.

7. Intellectual Property

All content on the Service — including the Ratchet Jazz name, logo, design, and software — is owned by True Orleans, LLC or its licensors. You may not reproduce, distribute, or create derivative works without our express written permission.

8. Third-Party Services

The Service may contain links to third-party websites or integrate third-party services (e.g., Stripe for payments, Apple for in-app purchases). We are not responsible for the content, privacy practices, or availability of third-party services. Use of those services is subject to their own terms.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE. YOUR USE OF THE SERVICE IS AT YOUR SOLE RISK.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TRUE ORLEANS, LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES ARISING FROM YOUR USE OF THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM.

11. Indemnification

You agree to indemnify and hold harmless True Orleans, LLC, its officers, employees, and agents from any claims, damages, or expenses (including attorneys' fees) arising from your use of the Service, violation of these Terms, or infringement of any third-party rights.

12. Governing Law

These Terms are governed by the laws of the State of Louisiana, without regard to its conflict-of-law provisions. Any disputes shall be resolved exclusively in the state or federal courts located in New Orleans, Louisiana.

13. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes via email or in-app notification. Continued use of the Service after changes take effect constitutes your acceptance of the revised Terms.
